The terms and conditions governing use of UMS Logistics freight transportation services.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "Shipper," or "User") and UMS Logistics LLC ("UMS Logistics," "Carrier," "we," or "us"), a licensed US motor carrier operating under US DOT and MC authority.
By submitting a quote request, booking a shipment, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our services.
UMS Logistics provides interstate and intrastate freight transportation services including, but not limited to:
All services are provided subject to equipment availability, route feasibility, and applicable federal and state regulations. UMS Logistics operates as a licensed motor carrier and is registered with the Federal Motor Carrier Safety Administration (FMCSA).
Submitting a quote request through our website or contact form does not constitute a binding contract. A binding agreement is formed only when both parties have agreed in writing (including email) to the specific rate, load details, pickup date, and delivery terms.
Quoted rates are valid for the time period specified in the quote. Rates are subject to change based on fuel costs, market conditions, and load-specific requirements. We reserve the right to adjust rates if load specifications change materially after a quote is issued.
Rates do not include accessorial charges unless expressly stated. Accessorial charges may apply for detention, layover, lumper services, re-consignment, inside delivery, or other services beyond standard pickup and delivery.
As a shipper, you are responsible for:
You are liable for any costs, damages, or delays resulting from inaccurate freight information or failure to have freight ready at the agreed time.
UMS Logistics maintains cargo insurance coverage as required by FMCSA regulations. Our liability for cargo loss or damage is governed by the Carmack Amendment (49 U.S.C. § 14706) and the terms of the applicable Bill of Lading.
Our liability is limited to the actual loss or damage to the freight, not to exceed the declared value on the Bill of Lading. If no value is declared, liability is limited to the standard released value rate.
UMS Logistics is not liable for loss or damage resulting from:
Cargo claims must be filed in writing within nine (9) months of delivery. Legal action must be commenced within two (2) years of denial of a claim in whole or in part.
Unless otherwise agreed in writing, payment terms are net 30 days from invoice date. Invoices not paid within 30 days may be subject to a late fee of 1.5% per month on the outstanding balance. UMS Logistics reserves the right to suspend service for accounts with outstanding balances beyond agreed payment terms.
For new customers, we may require prepayment or a signed credit application before providing services.
Cancellation of a confirmed load may result in cancellation fees to cover truck positioning, driver time, and lost revenue. Fees vary based on notice period and proximity to pickup time.
Detention charges apply when a driver is held at a pickup or delivery location beyond the agreed free time (typically 2 hours). Detention rates will be specified in the rate confirmation.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UMS LOGISTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for any claim arising under these Terms shall not exceed the amount paid by you for the specific shipment giving rise to the claim.
These Terms are governed by the federal laws of the United States and applicable state law. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), or by a court of competent jurisdiction.
You agree to use our website only for lawful purposes and in a way that does not infringe the rights of others. You may not attempt to gain unauthorized access to our systems, interfere with our website's operation, or use automated scraping tools without written permission.

UMS Logistics reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of our services after changes take effect constitutes your acceptance of the revised Terms.
